The Good Sams Club of Utah will use the Juab County
Fairground and facilities for an annual summer samboral each
year for the next four years.
David Leavitt, Juab County Attorney, presented the
memorandum of understanding prepared by his deputy, AnnMarie
Howard, for acceptance by the commission.
"One thing we did not include, which is in many rental
agreements, is the right of quiet possession," said
Leavitt.
This was not done, he said, because the fairgrounds is
located next to the Union Pacific Railroad tracks and trains
pass by on a regular basis.
However, the county commission did allow the club to rent
the facilities each year for the next four years.
The agreement did have two escape clauses, said Leavitt.
One of those was that the agreement could be negated by
failure by officials of the club to pay the required
rent.
The other would allow the agreement to be terminated if
the fairgrounds, for any reason such as a natural disaster,
became unusable.
"I would like to have the standard termination clause
included," said Robert Steele, commissioner.
He said he would like the agreement better if it allowed
either party to terminate the agreement after giving notice.
The length of time involved was not the important issue, the
clause was, he said.
When the memorandum was accepted and approved for
signature by the county commission, it was with the addition
of the termination clause&emdash;in this case 120 days.
Meaning the rental agreement can be terminated upon the
notification of the other party by the county or by the club
after 120 days have elapsed.
The length of time involved, if the notice came from the
county, for the Good Sams Club to find other facilities.
"We don't think the agreement will be terminated," said
Steele. "But it is a good idea to have the clause included
because none of us can see the future."
